1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and Telebria, LLC ("Telebria," "we," "us," or "our"), governing your access to and use of our websites, SaaS-based applications, platforms, and related services (collectively, the "Services"). By accessing or using our Services, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or services. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher, to use our Services. By agreeing to these Terms, you represent and warrant that: (a) you meet these eligibility requirements; (b) all registration information you submit is accurate and truthful; and (c) your use of the Services does not violate any applicable law or regulation.

3. Description of Services

Telebria provides cloud-based software solutions and SaaS applications. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes in advance.

4. User Accounts

To access certain features of our Services, you must create an account. When creating and maintaining your account, you agree to: - Provide accurate, current, and complete information during the registration process - Maintain and promptly update your account information - Maintain the security and confidentiality of your login credentials - Notify us immediately of any unauthorized access to or use of your account - Accept responsibility for all activities that occur under your account You may not share your account credentials with third parties, create accounts using false information, or create multiple accounts for the purpose of circumventing restrictions. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

5. SMS/Text Messaging Terms

SmartAssist SMS Service Telebria's SmartAssist platform provides AI-powered conversational support and identity verification via SMS text messaging for residents of homeowner associations and condominiums. The SMS service includes: (a) Identity Verification: One-time verification codes sent when a resident requests access to private account information through the SmartAssist web chat. One message per verification request. (b) Conversational AI: Two-way text messaging where residents text a dedicated local number to ask questions about account balances, payments, maintenance requests, and community policies. Message frequency varies based on user interaction. Opt-Out You can cancel the SMS service at any time. Just text "STOP" to the number from which you are receiving messages. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. Help If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance, or you can get help directly at support@telebria.com or (404) 482-2799. Carrier Liability Carriers are not liable for delayed or undelivered messages. Message and Data Rates As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. Privacy Your mobile phone number and SMS opt-in data will not be shared with or sold to third parties or affiliates for marketing or promotional purposes.

6. Subscription, Payment, and Billing

Certain features of the Services require a paid subscription. By subscribing, you agree to pay the fees described at the time of purchase. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. All fees are non-refundable except as required by law or as expressly stated in a written agreement with Telebria. Telebria reserves the right to change pricing at any time, with notice provided to active customers as described in the Changes to These Terms section below. If a payment fails or your account becomes past due, Telebria may suspend or terminate your access to the Services until the outstanding balance is resolved.

7. Intellectual Property

Our Property: The Services, including all software, code, algorithms, user interfaces, designs, trademarks, logos, documentation, and other materials, are owned by or licensed to Telebria and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent. Your Data: You retain all ownership rights to the data and content you input into our Services ("Your Data"). By using our Services, you grant us a limited, non-exclusive license to process, store, and display Your Data solely as necessary to provide and improve the Services. Feedback: If you provide suggestions, ideas, or feedback about our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without obligation to you.

8. Acceptable Use

You agree not to use the Services to: - Violate any applicable law, regulation, or third-party rights - Upload or transmit malicious code, viruses, or harmful content - Attempt to gain unauthorized access to our systems or other users' accounts - Interfere with or disrupt the integrity or performance of the Services - Reverse engineer, decompile, or disassemble any aspect of the Services - Use automated means (bots, scrapers) to access the Services without our written consent - Transmit unsolicited or unauthorized advertising, promotional materials, or spam - Use the Services to store or process sensitive personal data (such as Social Security numbers or medical records) unless explicitly supported and agreed upon in writing We reserve the right to investigate and take appropriate action against any violation of these Terms, including suspending or terminating your access to the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. Limitation of Liability: IN NO EVENT SHALL TELEBRIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. Cap on Liability: TELEBRIA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO TELEBRIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). Exceptions: Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Telebria, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: - Your use of or access to the Services - Your violation of these Terms - Your violation of any third-party rights, including intellectual property, privacy, or publicity rights - Any content or data you submit to or through the Services This indemnification obligation will survive the termination of these Terms and your use of the Services.

11. Termination

By You: You may terminate your account and stop using the Services at any time by contacting us or using the account settings. Upon termination, your right to access the Services will cease immediately. By Us: We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including if we reasonably believe that you have violated these Terms. We will endeavor to provide notice and an opportunity to cure non-material breaches before termination. Effect of Termination: Upon termination: - Your right to access and use the Services will cease immediately - We will retain Your Data for 90 days to allow for data export, after which it may be deleted - All provisions of these Terms that by their nature should survive termination will continue in full force, including intellectual property, limitation of liability, indemnification, and governing law provisions - Any outstanding fees remain due and payable

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Dispute Resolution: Any dispute arising out of or related to these Terms or the Services will first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Atlanta, Georgia. Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. Injunctive Relief: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: - Update the "Last Updated" date at the top of this page - Provide notice through the Services or via email to your registered email address - Where required by law, obtain your consent to the changes Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and terminate your account.

14. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Telebria regarding the Services and supersede all prior agreements and understandings. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction. Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.
